Terms of Use

These Terms of Use ("Terms") were last updated on February 14, 2020.

Hazelbaker Lactation Institute (known from here as HLI) is where the art and science of breastfeeding meet. Our mission is to provide exemplary education and resources to lactation, health and advocacy professionals. We need rules to keep our website and services safe for you, us, and our instructor and learner community. These Terms apply to all your activities on the HLI website and other related services.

We also provide details regarding our processing of personal data of our learners and instructors in our Privacy Policy.

Accounts

You need an account for most activities on our platform. Keep your password somewhere safe, because you are responsible for all activity associated with your account. If you suspect someone else is using your account, let us know by emailing: info@hazelbakerinstitute.com. You must be at least 18 years of age or older to create an HLI account and use HLI’s services, whether as a learner or instructor.

You need an account for most activities on our platform, including to purchase and enroll in a module or to submit a module for publication. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address. You have complete responsibility for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. Online Education and Module Enrollment

All HLI online classes will provide appropriate continuing education units.

Online classes are subject to scheduled and unscheduled service interruptions and loss of server data. Although this is an unlikely scenario, HLI is not responsible for loss, deletion, corruption or data loss of module files that occurs in connection with using HLI or its services.

Purchase of a module or use of content on HLI grants the user the non-exclusive, non-transferable, unassignable, revocable right to use of the class materials for the time period specified and under the terms specified for each module. HLI maintains all intellectual property rights and property rights in the modules, content, and material. The same cannot be altered, modified, reproduced, or used without the express authorization and consent of HLI.

In order to participate fully in HLI’s offerings, your computer may need to meet certain operating system requirements or download required software. Use of our website and services requires an internet connection, Javascript and cookies enabled, and one of the following web browsers: Internet Explorer 8+, Firefox 2+, Safari 1.2+, or Google Chrome. While not a requirement, our website is best viewed using a minimum screen resolution of 1024x768.

Parent and Professional Handouts

Handouts developed by HLI are available for download and are resources for individual modules. The handouts are the intellectual property of HLI and may not be altered, modified, or otherwise reproduced for any purpose.

Payments

You agree to pay the fees for modules that you purchase, and you authorize us to charge your debit or credit card or process other means of payment for those fees. HLI accepts all major credit cards, ApplePay, and GooglePay as methods of payment. HLI works with Shopify as our third-party payment processing partner to make payments easy and keep your payment information secure.

When you make a purchase, you agree not to use an invalid or unauthorized payment method.

If you are a learner located in an area where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities.

Refunds and Credits

Learner purchases of online modules can be accessed for six (6) months from the original purchase date. Purchases of six (6) or more modules are considered a bulk purchase and can be accessed for twelve (12) months from the original purchase date. HLI does not issue refunds at this time. All sales are final.

Content and Behavior Rules

You can only use HLI for lawful purposes You are responsible for all the content that you post on our platform.

Your use of HLI and behavior on our platform must comply with applicable local, state, and national laws. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you.

If you are a learner, HLI’s services enable you to ask questions to the instructors of modules you are enrolled in, and to post reviews of modules. For certain modules, the instructor invites you to submit content as “homework” or tests. Do not post or submit anything that is not yours. You must abide by the law and respect the rights of others: you cannot post any question, answer, review or other content that violates the law. You are solely responsible for any content and actions you post or take via HLI and their consequences.

If you are an instructor, any content posted by you, including modules, is subject to our Instructor Agreement. Please review the terms of your Instructor Agreement for further details.

HLI has discretion in enforcing these Terms. We may terminate or suspend your permission to use HLI or ban your account at any time, with or without notice, for any violation of these Terms, if you fail to pay any fees when due, upon the request of law enforcement or government agencies, for extended periods of inactivity, for unexpected technical issues or problems, or if we suspect that you engage in fraudulent or illegal activities. Upon any such termination we may delete your account and content, and we may prevent you from further access to HLI. Your content may still be available on the platforms even if your account is terminated or suspended. You agree that we will have no liability to you or any third-party for termination of your account, removal of your content, or blocking of your access to HLI.

If one of our instructors has published a module that infringes your copyright or trademark rights, please let us know. We require our instructors to follow the law and respect the intellectual property rights of others.

Using HLI at Your Own Risk

HLI enables instructors and learners to interact for teaching and learning. Like other platforms where people can post content and interact, some things can go wrong, and you use HLI at your own risk.

By using HLI, you may be exposed to content that you consider offensive, indecent, or objectionable. HLI has no responsibility to keep such content from you and no liability for your access or enrollment in any module, to the extent permissible under applicable law. When you interact directly with a learner or an instructor, you must be careful about the types of personal information that you share. We do not control what learners and instructors do with the information they obtain from other users on HLI. You should not share your email or other personal information about you for your safety.

We do not employ instructors nor are we responsible or liable for any interactions involved between instructors and learners. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of instructors or learners. Instructors offering modules on HLI or using the website are not agents of HLI, and HLI has no control over the individual actions of instructors providing modules for use on HLI’s website. HLI does not assume any liability or responsibility for the actions of instructors using the website. Instructors (including their heirs, successors, or assigns) agree to waive, discharge, indemnify, and hold harmless HLI (including its heirs, successors, or assigns) for any potential claim, demand, or issue arising from or in any way related to the instructor’s actions, or the services provided by the instructor to HLI.

HLI’s Rights

We own HLI and its online learning services, including the website, present or future services, and things like our logos, API, code, and content. HLI’s express authorization is required to use them. Our instructors and the content they create are subject to our Instructor Agreement.

All right, title, and interest in and to HLI and its services (excluding content provided by instructors and learners) are and will remain the exclusive property of HLI and its licensors. Nothing gives you a right to use HLI’s name or any trademarks, logos, domain names, and other distinctive features associated with HLI. HLI’s content, website, assessment tools, and online educational materials are subject to federal copyright and trademark protections. Any unauthorized use or modification of any property belonging to HLI may result in legal action to secure HLI’s rights. Any feedback, comments, or suggestions you may provide regarding HLI or its services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

Binding Agreement

You agree that by registering, accessing or using our services, you are agreeing to enter into a legally binding contract with HLI. If you do not agree to these Terms, do not register, access, or otherwise use any of our services.

These Terms (including pricing agreements and the policies located elsewhere on our website) constitute the entire agreement between you and us.

If any part of these Terms is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.

Even if we are delayed in exercising our rights or fail to exercise a right in one case, it does not mean HLI waives our rights under these Terms, and we may decide to enforce them in the future. If we decide to waive any of our rights in a particular instance, it does not mean we waive our rights generally or in the future.

Disclaimers

HLI’s website and content is provided on an “as is” and “as available” basis. We (and our affiliates, suppliers, partners, and agents) make no representations or warranties about the suitability, reliability, availability, of our content and expressly disclaim any warranties or conditions (whether express or implied). We (and our affiliates, suppliers, partners, and agents) make no warranty that you will obtain specific results from use of the website or modules. Your use of HLI is entirely at your own risk.

We may decide to cease making available certain features of the website at any time and for any reason. Under no circumstances will HLI or its affiliates, suppliers, partners or agents be held liable for any damages due to such interruptions or lack of availability of such features.

We are not responsible for delay or failure of our performance of any part of the website or services caused by events beyond our reasonable control.

Limitation of Liability and Indemnification

To the extent permitted by law, we will not be liable for any indirect, incidental, punitive, or consequential damages, whether arising in contract, warranty, tort, product liability, or otherwise.

You agree to indemnify, defend, and hold harmless HLI, our group companies, and their officers, directors, suppliers, partners, and agents from and against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from (a) the content you post or submit, (b) your use of HLI, (c) your violation of these Terms, or (d) your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of HLI.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Ohio. You and we consent to the exclusive jurisdiction and venue of federal and state courts in Columbus, Ohio, USA.

Relationship Between Us

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

Updating These Terms

From time to time, we may update or amend these Terms to clarify our practices or to reflect new or different practices. HLI reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using the contact information that you have provided to us. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of HLI after changes become effective means that you accept those changes. Any revised Terms shall supersede all previous Terms.
